The following guidelines concerning remuneration payable to officers of the company were accepted at the 2012 AGM:

The board of directors proposes that the guidelines accepted at the 2011 AGM should continue to apply unchanged. Remuneration paid to the CEO and others in the company's management shall consist of a fixed remuneration, possible variable compensation, pension and any other customary benefits. The total sum paid must reflect market levels of compensation and the terms and conditions of payment shall reward good performance as well as give equal incentive for both the shareholders and the individual.

Fixed Compensation

Remuneration in the form of fixed compensation is to be paid in proportion to the officer's experience, responsibility and competence.

Variable Compensation

Variable compensation is to be paid in proportion to the officer's responsibility and competence. Additionally, compensation is to be both capped and based on the achievement of goals that correspond with shareholders' long-term interests. The variable compensation shall, whenever applicable, be based on quantitative and qualitative goals.

The company's cost for the variable compensation paid to the CEO and other company management is to amount to between zero and 100 per cent of the total sum of fixed remuneration paid, in line with goal-achievement.

The board proposes that the CEO and other company management in the same manner be given the right to participate in stock option plans as other staff and in accordance with the proposal the board submits at the AGM, as well as to receive any subsidised premium on the same terms as other HiQ employees.

Pension

HiQ offers its employees a premium-based pension scheme with the right to receive a pension payment from 65 years of age. Variable compensation paid is not pensionable. Retirement benefits are to be limited to 35 per cent of the amount of fixed compensation paid and to a maximum of approximately SEK 400,000 per annum and per employee.

Additional Benefits

Additional benefits provided by HiQ consist of conventional benefits given in accordance with local custom.

Termination of Employment and Severance Payment

With regard to the CEO, a mutual period of notice of six months will apply should either the company or the CEO choose to terminate the CEO's employment. Should the company choose to terminate the CEO's employment, a severance payment equivalent to ten month's salary is to be paid. Should the CEO choose to terminate his/her employment, then salary payable and other benefits are to be paid for a period of four months after employment ceases, during which time a non-compete clause will apply. In the case of the termination of the employment of other management, a mutual period of notice of three to six months will ordinarily apply.

The CEO determines the amount of remuneration payable to management. The amount of remuneration payable to the CEO is to be determined by the board.

The board may deviate from these guidelines in isolated cases if special reasons for doing so exist.

HiQ SIMPLIFIES EVERYDAY LIFE.

Simplicity has become the innovation of our age. It's easy to talk about simplicity, the difficult thing is simplifying. This is the challenge that our industry has been living with for a long time. Simplicity is a keyword that permeates all the work we do at HiQ to create services that will improve people's day-to-day life, for example making your tax return by texting. We believe that IT that simplifies equates with quality. Or like Leonardo da Vinci expressed it "simplicity is the ultimate in sophistication".

We live in a world in which innovative IT-based services and products have improved the everyday lives of people. We see for example how social media help to bring about the downfall of dictatorships, how communication channels evolve and how very valuable IT has become for individuals, companies and organisations.

We take on the challenges with enthusiasm and expertise. We listen to our clients. We are the specialists who can get to grips with the intricacies of technology and the clients requirements and there to propose the simple solution. As a result, we create services and products that improve and simplify people's lives right in the midst of the adventure that we call IT.

It takes courage to step away from conventional thinking in order to seek better solutions to our customers' challenges. Employees at HiQ Stockholm are daring and creative team players. SEVEN STRATEGIES

Sound values.
Our values have been a big part of what we are ever since we started more than 15 years ago. They are the very heart and soul of HiQ. We believe that by clearly communicating these values – results, responsibility, simplicity and joy – we can deliver optimum quality in all that we do and thus make sure that our clients are always fully satisfied. Sound values help to develop employees and the company’s structural capital in the best possible way. Our values are not well-worded declarations to be hung on the office wall; they are something that we are constantly aware of in our day- to-day work. Our values are a decisive competitive advantage for both HiQ and our customers.

A consulting company - plain and simple.
We are a consultancy company in the truest sense, acting as an independent advisor that puts the best interests of our customers first. We do not develop our own products that compete with those of our clients. Instead, we devote ourselves one hundred per cent to satisfying our clients’ needs, without the constraints of any commercial ties to suppliers, products or technologies.

Quality, profitability and growth.
Just as our name suggests, high quality is the foundation on which HiQ is built. Consistently delivering high quality generates satisfied clients. Satisfied clients make our operations profitable, and these profits then provide us with the opportunity to grow. Our priorities are quality, profitability and growth – in that order. It is a strategy that has clearly served us well. Since we started, our operating margin has averaged 15.3 per cent a year, with average annual growth of 24 per cent.

Specialists in technology, business and operations.
We are a specialist consultancy company with a high degree of expertise in the fields of communication, software development and business-critical it. The skills we have gained from telecoms are shared with clients in all the other industries with which we work. At HiQ, we understand not only the technology but also the importance of technology for a business. By gaining a thorough insight into our clients’ business operations, we are able to use our expertise to identify the technology that will best improve each client’s competitiveness.

Knowledge transfer between industries.
We take an active role in the process of transferring knowledge between our various clients’ respective industries. By doing this we make sure that our clients benefit from new impulses and from the technological and commercial expertise that exists in industries that are very different from their own. However, not only is the need for communication continuing to grow in an ever increasing number of industries, but more and more industries are also calling for our help and expertise in areas such as mobility and simulation.

A Nordic heart.
HiQ is a consultancy company with roots in the Nordic region and a strong position in its domestic markets. Nevertheless, our international commitments are steadily increasing in terms of assignments for Nordic clients abroad as well as for non-Nordic companies.

Growth.
Our growth strategy is to complement organic growth with strategic acquisitions. HiQ’s acquisition strategy is to strengthen the company’s geographical presence in the Nordic region and to acquire companies that add new competences to HiQ’s business. Acquisitions also strengthen HiQ by expanding our business operations to include new clients and new market segments. Our model for organic growth is based on developing current operations and recruiting locally at every HiQ office.

The Maths Centre

Maths is the first step.

At HiQ, we're convinced that discovering the joys of mathematics at an early age is important. We help young people with their maths so that one day they can become our consultants here at HiQ.

The Maths Centre is a non-profit organisation. It provides free maths instruction and homework support to around 1,200 children and young people every week in 10 cities in Sweden. The Maths Centre holds 24 maths workshops a week in which 150 volunteers work together to help students and young people with their maths.

In addition to maths workshops, the Maths Centre also operates an online site: www.matteboken.se (matteboken is the Swedish word for "The maths book"). The site offers a free online tool containing a complete maths book from the Swedish A-E maths courses with exercises and descriptions, 350 video lessons and a forum where users can ask questions. Approximately 10 per cent of Sweden's upper-secondary school students (about 30,000 students) visit matteboken.se each month.

HiQ Sailing Team

2002-2008 HiQ had a very successful collaboration with the sailing project HiQ Sailing Team. HiQ Sailing Team, the well-known 60-foot trimaran and one of the fastest sailing boats in the world, has broken a number of records through the years. Among the most spectacular were the events of December 2006, when HiQ Sailing Team sailed around Gotland in a new record time of 17 hours 39 minutes – at an average speed of nearly 21 knots!

The trimaran has given us amazing experiences with both customers and staff, a great deal of pride and attention. It has been a true journey writing record history together.

The career
  • European Master in FIA European Touring Car Cup
  • European Master in Formel Ford
  • 4 Gold medals in STCC
  • 1 Silver medal in STCC
  • 1 Bronze medal in STCC
  • In STCC he has won 34 races in eight seasons
  • and ended up on the podium 57 times out of 109 possible!
  • 2010 Richard won his fourth STCC title. This makes Richard the most successful driver in STCC, in all categories. Closest is Fredrik Ekblom with 3 STCC titles and Flash med 33 victories.

The HiQ Trimaran

ONE OF THE FASTEST SAILING BOATS IN THE WORLD.

HiQ is one of the fastest sailing boats in the world. In good conditions the boat can sail faster than 40 knots – last year’s speed record was 41,6 knots. The boat is 60 feet long, 20 meters wide and weighs around 5 tonnes. The sail area is very large compared with the size of the boat, making the vessel quick and light on the rudder, but an advanced craft to sail – the Formula 1 of sailing. The new trimaran HiQ is one of the fastest sailing vessels in the world and has successfully sailed in competitions such as the ORMA, Jaques Vabre and Route du Rhum.

Trimaran

The project had backing from HiQ and co-partners Klabbe Nylöf, Andreas Andersén and Pelle Norberg. Together they form a very strong team who have accumulated many merits in the Whitbread, Volvo Ocean Race and other major international competitions.

Media, gaming and entertainment

HiQ simplifies and improves in a world growing more digitised.

Today’s technology creates challenges and endless opportunities for the media industry, with technical advances enabling many new players to stream a variety of different media forms. Years of experience in IT, communications and the digitisation of content enables us to meet the increasing demand for services that combine the Internet and mobility with media and entertainment.

HiQ works with leading media companies on business system-related projects that are linked to improving processes and the production of media content. HiQ is also involved in the rapidly growing phenomenon of online TV, developing a number of services for various TV channels in the Nordic region and the rest of Europe. Today’s viewers can decide where, when and how they watch TV, for example with the IP TV solution that HiQ has helped British Channel 4 to develop.

In addition, HiQ is involved in developing online gaming. This, too, is a constantly evolving industry, and Nordic players are successful in the global gaming market.

HiQ's customers include Aristocrat Lotteries, Channel 4, GTECH, Göteborg & CO, Hippos, Kanal 5, Moving Media/Mag+, MTV3 Finland and Veikkaus.

Telecom

As always, technological development is moving ahead rapidly and the need for individuals and businesses to communicate with one another is increasing.

Society’s communication needs are increasing. Ever shorter product life cycles and the constant evolution of new services drive the telecom market. Meanwhile, technology from this segment is increasingly being transferred to other industries. Mobility and improvements in capacity are becoming more and more important for all customers in all industries.

Since 1995, HiQ enjoys a very strong standing in telecoms and we work with global, market-leading names. We have extensive technical expertise and commercial competence within telecommunications systems and have worked closely with suppliers, operators, users and regulatory bodies for almost 20 years. Our knowledge of and insights into the industry also create value for customers and projects in other lines of business, as many industries today are dependent on telecom technology.

Our customers in this segment include Ascom Wireless Solutions, Com Hem, Doro, Ericsson, Nokia, Telenor, TDC and Tele2.

Automotive

In an industry that places tough demands, HiQ is well equipped to meet the challenge.

The technology used in the automotive industry is constantly evolving and there is a great deal of pressure to introduce shorter and more efficient development cycles. HiQ is involved in this process through its project management, development and software testing services.

Vehicles and their components are today in greater extent connected and communicating with each other. Together with one of our innovative clients, we are developing road trains, where several connected vehicles travel in a semi-autonomous convoy. Two major benefits are enhanced safety and reduced fuel consumption.

For many years HiQ has been a strategic partner for a leading automotive manufacturer in the growing and important field of active safety – a highly prestigious assignment. Self-braking cars and systems that detect potential hazards in time reduce the number of accidents and save lives.

HiQ increasingly participates in projects aimed at developing eco-friendlier vehicles. Technology is crucial in finding effective solutions to reduce emissions and minimise fuel consumption.

Our clients in this segment include BorgWarner, Scania, Volvo Cars and Volvo Group.

Defence and security

The defence industry is global, and international risk scenarios are constantly changing.

HiQ’s know-how in the fields of simulation and communications and the stable, long-term relationships we enjoy with our customers help us to succeed in this industry, where projects include both product development and operational support.

We have extensive experience of defence and security. For example, we have been maintaining and developing training simulators for the JAS 39 Gripen fighter aircraft since the early 1990s. More than 200 fighter pilots worldwide have been trained in simulators that HiQ has helped to develop.

HiQ also helps customers with the development of radar systems and systems that are critical for society, such as resource management systems for security companies and airports.

Our customers in this segment include BAE, Swedish Defence Materiel Administration (FMV), Swedish Armed Forces and SAAB.

Industry

IT helps streamline industrial operations and has become increasingly business-critical.

Today there are ever greater numbers of IT-dependent products and support systems that require development capacity and services for testing and quality assurance. HiQ develops products and systems and also handles operational assignments that are aimed at simplifying, improving and modifying existing systems.

Examples of the results HiQ has produced include a pallet management system to reduce emissions from pallet transports within Europe. The system is according to calculations saving 10 million litres of diesel per year in transportation emissions. We are also part of developing effective support systems to simplify the booking process and inspection of vehicles.

Our customers in this segment include ABB, Atlas Copco, Bombardier, Dekra, Porvoo Energy, Empower, Jeppesen Systems, Kuusakoski, Kerava Energy, SKF and Svevia.

Retail

Through IT, retail is becoming more efficient and simple - for the distributors as well as for the customers.

Against the background of a steep rise in online shopping, the retail sector is currently undergoing some significant changes. Many retailers are broadening the options and simplifying purchasing for their customers by expanding and improving their online range and mobile shopping services.

With a strong offering, built on a thorough understanding of the industry gained over many years, HiQ supplies services to some of the leading retail chains that range from concept and design to quality assurance. HiQ works with everything from e-commerce, mobile commerce, procurement and logistics systems to marketing and sales tools.

Our customers in this segment include Axstores, Bauhaus, ICA, Lähikauppa and Stockmann.

Public sector

The public sector is continually striving to increase service levels and make people’s lives simpler.

To do so, the sector is developing IT environments that help to streamline and rationalise its operations.

HiQ has more than ten years’ experience of working with development of business-critical IT solutions for the public sector that facilitate citizens’ contacts and dealings with various authorities.

Our customers in this segment include the Swedish Public Employment Service, the European Chemical Agency, the Swedish Civil Contingencies Agency, the Swedish Enforcement Authority, the Swedish National Police Board, the Swedish Post and Telecom Authority, Region Västra Götaland and the Swedish Tax Agency.

Finance and insurance

Global competition within the finance industry drives the need for constant adaptation and rationalisation.

EU directives for increased transparency and competition require European banks to adapt their IT systems to make sure the banks are better able to manage their risks. To do this, the industry needs to find competitive solutions – and this, in turn, creates opportunities for HiQ.

HiQ has a strong position in this sector, firmly founded on a thorough knowledge of the rules and regulations, processes and IT in several key areas, from securities trading to asset management and payments.

During the past year we have combined our financial expertise with our expertise in mobility to create a competitive offering for mobile payments as well as for money transfers between individuals.

Our customers in this segment include Bankgirot, Handelsbanken, Lindorff, Nordea, OP Pohjola Group, SEB, Skandia and Swedbank.

Mobility

Regardless of where we are, we have become used to being in constant contact with the outside world via mobile phones, laptops and tablets – when at work, on holiday and in our free time.

We take it for granted that we have constant access to the services that we feel are important. These might be e-mail, social networking sites, weather reports, mobile banking, or our favourite music, to name just a few. Whatever it might be, the requirements we place on the service with regard to accessibility, privacy, content and usability are great.

HiQ provides expertise within mobility and mobile solutions to customers in all market segments and we are highly competent with regard to various technical platforms. We provide consultancy services and work with strategies, applications, usability and quality assurance linked to business benefits in our customers' operations. Some examples include a mobile banking application for handling banking errands and a mobile e-commerce platform that allows users to buy goods straight from their mobile phones.

Telecom

Telecommunications involves communication between people and between people and systems.

It can also include systems communicating with each other without human involvement. Today, this means that your computer, video game console, mobile, sound system, TV and other devices are able to interact and communicate with the world around them.

HiQ has long held a strong position within telecommunications and cooperates with the majority of systems suppliers, mobile phone manufacturers, operators and users in the Nordic region. We are currently witnessing a continued, strong convergence between the Internet, media, entertainment and mobility. Telecom technology is playing a central role here as increasing amounts of information are transmitted with the help of IP. HiQ is active at the very heart of this convergence.

One example of this is our development of Dreampark's next-generation IPTV portal. TV distribution over IP networks using a new kind of hybrid box will give viewers access to a broad range of TV channels, the Internet, movie rental services, Facebook and Twitter. In the future, it will even be possible to record programmes directly on mobile phones and tablets.

Simulation technology

One of the specialist areas in which HiQ has a long-running history of expertise is simulation technology. We are leaders in the Nordic region in software development for simulated environments and work together with many different customers in the field.

Ever since the JAS Gripen fighter jet first came into service, HiQ has developed simulators for training pilots. HiQ continues its work on this project as the aircraft and technology continue to be developed. An interesting detail about the JAS Gripen project is that the simulator uses the same system software as the actual fighter jet.

HiQ also develops simulators used in the development and testing of new mobile phones and IT solutions for vehicles. Another example is when we helped Forsslund Systems, the Swedish Royal Institute of Technology and Karolinska Institutet to develop an oral surgery simulator. The system is used by dentistry students to practice surgical procedures.

Business-critical systems

IT offers a wealth of opportunities for businesses and the public sector to both improve and simplify what they do.

Many companies are highly dependent on their IT systems. Banks and insurance companies are totally dependent on the reliability of the IT systems that manage payments and other transactions, for example. Public sector institutions require support systems to help them keep their operations well organised and to ensure that the services they provide to the public function well.

In the case of the Swedish National Tax Board, for example, IT has made it possible to offer better, simpler, more user-friendly services by providing forms, tax declarations and applications online.

HiQ develops systems able to meet high demands on accessibility and reliability and that are business-critical for the customer's entire operation. Often, these are systems that are required to operate 24-7, such as systems for share trading and case management systems for public authorities. This might also include things like logistical solutions for transport or trading companies. Whatever the case may be, they are always business-critical parts of our customers' operations.

Gaming and platforms

Today there is a veritable ocean of interactive online games. Scratchcards are now available on mobile phones, poker is a success on tablets and there are many new ideas in the pipeline.

HiQ works to produce interactive games for betting and sporting games for state-regulated companies. The demand for interactive gaming alternatives is increasing, especially within sports games.

We are Nordic leaders in the area and develop and implement platforms for both gaming and the games themselves. HiQ also develops advanced solutions for managing security, accessibility and performance. Our customers include established, well-known Nordic gaming companies and betting agencies, as well as GTECH – the world-leading supplier of IT solutions and services for the gaming and lottery industry.

Securities trading

Within finance, HiQ is a specialist in securities trading services.

We have successfully managed a very large number of projects and commissions in this area – from strategy and systems to projects and administration. Efficiency is often the most important issue for our customers, e.g. how to make the process faster, how to monitor it better or how to reduce risk. Thanks to HiQ's understanding of the flows of the securities industry, we are able to find solutions to these issues. We possess expertise on the entire process – from orders and transactions to clearing and settlement.

We provide our customers with insight into the complete process. The finance industry is complex, so it is often possible to focus on and understand only one section of the market. At HiQ, we understand all aspects of the industry. Our comprehensive knowledge allows us to quickly find effective, secure solutions that meet all existing standards and legal requirements, from the time the order is placed to the time the transaction is made and registered. This over-arching capability saves our customers both time and money, allowing them to get up and running quickly and to get to work on new business opportunities.

IT for vehicles

New vehicles launched onto the market today are packed with IT and technological solutions.

This might include an information system for the driver that indicates how the vehicle is performing, a navigation system or an entertainment system for passengers. One area that continues to expand is active safety. Examples of active safety solutions include systems that cause cars to brake automatically when someone or something gets too close and functions that improve driver vision in poor lighting.

HiQ helps vehicle manufacturers and sub-suppliers to the automotive industry to develop platforms, systems and services for vehicles. These facilitate communication between different devices within a vehicle and communication to and from a vehicle. We are well positioned within fields like infotainment, active safety, telematics and usability.

Another growing area in which HiQ has a long record of experience is mobility and digital channels. In this field, we help Saab Automobile AB with its development of technical platforms for marketing via digital channels and mobile applications, for example. We also develop engine management systems, production systems and diagnostics solutions and have delivered a new production system for a leading global car manufacturer to Brazil and Asia. Through our broad-ranging offerings to the automotive industry, HiQ's work saves both money and lives.
